COMMON STOCK

During 2006, Ramirez & Co. participated in 12 common stock offerings totaling $14 billion  According to data from Thomson Financial the firm ranked #1 among minority owned firms for 2006 as an underwriter of new issue equity transactions. Notable assignments include acting as one of only two minority owned underwriters for MasterCard’s IPO, the largest of the year. Other transactions that Ramirez & Co. underwrote or co-managed include the Burger King IPO, Chipotle Mexican Grill’s IPO and follow on offering, and the Genworth Financial secondary offering (Ramirez & Co.’s fourth assignment for this client). The firm’s equity capital markets experience-underwriter of eight of the ten largest US domestic IPOs of all time,- combined with its retail sales effort in New York, Hartford, Palm Beach and San Juan Puerto Rico, insure that Ramirez & Co. will provide high quality execution for all equity assignments. For 2007, the firm was an underwriter in the Blackstone Group IPO, the largest year to date.

CONVERTIBLE SECURITIES

Ramirez & Co. has acted as underwriter or co-manager for over $14 billion of transactions during the past five years. In 2007 the firm was an underwriter in GM’s $1.5 billion convertible bond transaction, Ramirez & Co. has underwritten transactions for MetLife, Traveler’s Property & Casualty, The Walt Disney Company, Wells Fargo 7 Co. and Lockheed Martin Corp. The firm’s experienced equity sales and trading professionals cover many of the convertible funds and hedge funds that have become the primary investors for this asset class.

CORPORATE SHARE REPURCHASE

Through its experienced team of equity Sales & Trading professionals, Ramirez & Co.'s Institutional Equity Group has completed buyback programs for publicly traded corporations under Rule 10b-18 as well as Rule 10b-5 of the Securities Act of 1934. Since 2005 the firm has completed approximately 25 buyback assignments. The firm has acted agent for Fortune 500 corporations in a variety of industries including Telecom & Cable, Oil & Gas, Food & Beverage, Gaming & Lodging, Retail, Technology, and Defense.
